Zythex Labs products are supplied exclusively for laboratory, analytical, and research purposes. To protect product integrity, traceability, and the accurate representation of our materials, commercial resale and distribution of Zythex Labs products are subject to the requirements outlined in this policy.

Purchasing a Zythex Labs product does not automatically authorize an individual or business to act as an authorized reseller, distributor, dealer, representative, or affiliate of Zythex Labs.

1. Resale Authorization

Purchasing products directly from Zythex Labs does not automatically grant authorization to commercially resell or distribute Zythex Labs products.

Products purchased for commercial resale or redistribution may require prior written authorization from Zythex Labs.

No person, organization, or business may represent itself as an authorized Zythex Labs:

  • Reseller
  • Distributor
  • Dealer
  • Representative
  • Affiliate

without the express written approval of Zythex Labs.

Authorization, where granted, applies only under the conditions communicated by Zythex Labs and may be subject to additional requirements.

2. Product Integrity & Traceability

Authorized resellers are responsible for maintaining the identity, integrity, and traceability of Zythex Labs products.

Unless expressly authorized by Zythex Labs in writing, products may not be:

  • Relabeled or repackaged as Zythex Labs products
  • Assigned a different Zythex Labs lot or batch number
  • Accompanied by altered, misleading, or falsified Certificates of Analysis
  • Marketed using modified product information that misrepresents the material
  • Presented as having been manufactured, tested, or certified by Zythex Labs when that representation is inaccurate

Product identity, lot information, Certificates of Analysis, and other traceability information must not be altered or misrepresented.

3. Research-Only Representation

All Zythex Labs products must remain represented strictly as research materials throughout any authorized resale or distribution.

Products may not be marketed, promoted, recommended, sold, or otherwise represented for:

  • Human use or consumption
  • Veterinary or animal use
  • Human or veterinary administration
  • Diagnosis
  • Treatment
  • Disease prevention
  • Therapeutic application
  • Other non-research purposes

Resale or redistribution of a product does not change its Research Use Only designation.

4. Prohibited Product Claims & Guidance

Resellers may not add or provide:

  • Dosing instructions
  • Administration guidance
  • Therapeutic claims
  • Medical or treatment claims
  • Bodybuilding claims
  • Weight-loss claims
  • Disease-related claims
  • Other representations inconsistent with the research-only designation of Zythex Labs products

Product information must accurately reflect the laboratory, analytical, and research-only nature of the material.

5. Branding & Intellectual Property

Zythex Labs branding, trademarks, product photographs, documentation, product information, Certificates of Analysis, and other intellectual property remain the property of Zythex Labs or their applicable rights holders.

These materials may only be used as permitted by Zythex Labs.

Authorization to resell or distribute a product does not automatically grant unrestricted rights to reproduce, modify, redistribute, or commercially use Zythex Labs intellectual property.

No reseller or distributor may represent itself as Zythex Labs or create a misleading impression of ownership, partnership, endorsement, or authorization beyond the scope expressly approved by Zythex Labs.

6. Storage & Chain of Custody

Resellers are responsible for maintaining appropriate storage, handling, and chain-of-custody conditions after receiving an order.

Zythex Labs cannot guarantee product integrity when materials have been:

  • Improperly stored
  • Repackaged
  • Modified
  • Transferred
  • Exposed to inappropriate conditions
  • Otherwise handled outside the control of Zythex Labs

Resellers are responsible for ensuring that their handling practices preserve the integrity and traceability of the research materials in their possession.

7. Independent Compliance Responsibility

Any individual, organization, reseller, or distributor involved in the resale or distribution of Zythex Labs products is independently responsible for complying with all applicable federal, state, local, and other laws and regulations governing its activities.

Authorization from Zythex Labs does not constitute regulatory approval.

Authorization also does not represent or guarantee that the resale, distribution, possession, or other activity involving a Zythex Labs product is lawful in every jurisdiction.

Each reseller or distributor is responsible for determining and maintaining its own legal and regulatory compliance.

8. Unauthorized Resale & Policy Violations

Zythex Labs reserves the right, subject to applicable law, to take appropriate action when this policy is violated.

Such action may include:

  • Restricting future purchases
  • Refusing service
  • Cancelling reseller privileges
  • Withdrawing resale authorization
  • Terminating an authorized reseller or distributor relationship

Authorization may also be withdrawn when a reseller’s or distributor’s conduct creates concerns regarding:

  • Product integrity
  • Product traceability
  • Regulatory compliance
  • Certificates of Analysis
  • Research-only representation
  • Zythex Labs branding or intellectual property
  • Accurate representation of Zythex Labs products

9. Withdrawal of Authorization

Any resale or distribution authorization provided by Zythex Labs may be withdrawn when the reseller or distributor fails to comply with this policy or otherwise creates concerns regarding product integrity, traceability, regulatory compliance, or representation of the Zythex Labs brand.

Withdrawal of authorization may also result in restrictions on future purchases or termination of the applicable commercial relationship, subject to applicable law.

10. Research Use Only

All Zythex Labs products are supplied strictly for laboratory, analytical, and research purposes only.

Products are not intended for:

  • Human or veterinary use
  • Human or animal consumption
  • Human or veterinary administration
  • Diagnosis
  • Treatment
  • Disease prevention
  • Therapeutic application

Purchase, resale, redistribution, or transfer of a Zythex Labs product does not change its research-only designation.

Any authorized reseller or distributor is responsible for maintaining this designation when presenting Zythex Labs products.
